By accessing or using RebornCareer.AI ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

RebornCareer.AI is an AI-powered career transformation platform that provides:

• Resume analysis and job fit scoring
• AI-powered career coaching and guidance
• Personalized action plans and recommendations
• AI tool recommendations for career development
• Resume enhancement and optimization tools
• Interactive chat with AI career coach

The Service uses artificial intelligence (including OpenAI) to analyze user-provided information and generate personalized career guidance. All AI-generated content is provided for informational purposes only and does not constitute professional career counseling, legal advice, or employment guarantees.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not share your account with others or create multiple accounts to circumvent usage limits

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Any other reason we deem necessary to protect the Service or other users

4. User Content and Data

4.1 Your Content

You retain ownership of all content you upload, submit, or provide to the Service ("User Content"), including but not limited to:

• Resume files and text
• Job descriptions
• Personal information and career history
• Chat messages and conversations

4.2 License to Use Your Content

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and analyze your User Content to provide the Service
• Use your User Content to train and improve our AI models (subject to Section 4.3)
• Generate derivative works (analysis results, recommendations, etc.) based on your User Content
• Display your User Content within the Service interface

4.3 AI Training and Data Usage

• We may use anonymized and aggregated User Content to improve our AI models and Service quality
• We will not use your personally identifiable information (name, email, exact resume content) to train third-party AI models without your explicit consent
• OpenAI may process your data in accordance with their terms of service and privacy policy when you use AI features
• You acknowledge that AI-generated content may be similar to content generated for other users

4.4 Content Restrictions

You agree not to upload, submit, or provide User Content that:

• Contains false, misleading, or fraudulent information
• Violates any third-party rights (copyright, trademark, privacy, etc.)
• Contains malicious code, viruses, or harmful software
• Is illegal, defamatory, harassing, or abusive
• Violates any applicable laws or regulations

4.5 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

5. Subscription Plans and Billing

5.1 Subscription Tiers

We offer multiple subscription tiers with different features and usage limits:

• Free Tier: Limited analyses and features available to beta and test users only
• Starter Tier: Enhanced features and higher limits
• Pro Tier: Premium features and higher limits
• Enterprise Tier: Custom features and unlimited usage

Current pricing and feature details are available on our website and may change at any time.

5.2 Billing

• Subscriptions are billed weekly, monthly or annually as selected
• Payment is processed through Stripe, our third-party payment processor
• All fees are non-refundable except as required by law or as stated in our refund policy
• We reserve the right to change subscription prices with 30 days' notice
• Price changes will apply to your next billing cycle
• All prices are in United States Dollars (USD) unless otherwise stated
• You are responsible for any currency conversion fees charged by your bank or card issuer
• Prices do not include applicable sales tax, VAT, GST, or other taxes
• You are responsible for paying any taxes applicable in your jurisdiction
• We may collect and remit taxes where required by law
• You can update your payment method through your account settings or Stripe Billing Portal
• You authorize us to save your payment information securely with Stripe
• You must keep your payment information current to maintain uninterrupted service

5.3 Automatic Renewal

• Subscriptions automatically renew at the end of each billing period
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You will continue to have access to paid features until the end of your billing period

5.4 Refunds

• 7-Day Money-Back Guarantee: First-time subscribers can request a full refund within 7 days of their first subscription purchase
• To request a refund within the 7-day window, contact engineer1@reborncareer.ai with your order details
• No refunds for partial billing periods after the 7-day guarantee period
• Annual subscriptions are non-refundable after the 7-day guarantee period, but you may cancel to prevent auto-renewal
• Refunds are processed to the original payment method within 5-10 business days
• This refund policy does not apply to users who violate our Terms of Service

5.5 Usage Limits

• Each subscription tier has specific usage limits (analyses, exports, chat messages, etc.)
• Usage limits reset monthly based on your billing cycle
• Exceeding usage limits may result in additional charges or service restrictions
• We reserve the right to modify usage limits with reasonable notice

5.6 Failed Payments

• If a subscription payment fails, we will attempt to process payment up to 3 times
• If all payment attempts fail, your subscription will be suspended or canceled
• You are responsible for ensuring your payment method is valid and has sufficient funds
• We may charge a fee for failed payment processing costs where permitted by law
• You will receive email notifications about failed payments before suspension

5.7 Payment Disputes and Chargebacks

• If you dispute a charge with your bank or card issuer (chargeback), your account may be immediately suspended pending resolution
• Fraudulent chargebacks may result in permanent account termination and legal action
• Contact us at engineer1@reborncareer.ai before filing a chargeback to resolve payment disputes
• You are responsible for any chargeback fees, administrative costs, or penalties we incur
• We reserve the right to pursue collection of unpaid fees and chargeback costs

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by RebornCareer.AI and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

6.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Service for any commercial purpose without our written consent
• Create derivative works based on the Service

6.4 AI-Generated Content

• AI-generated analysis, recommendations, and content are provided for your use
• You may use AI-generated content for personal career development purposes
• Commercial use of AI-generated content may require additional licensing
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content

7. Third-Party Services and Integrations

7.1 Third-Party Services

The Service integrates with and uses third-party services, including:

• OpenAI: AI model provider (OpenAI Terms)
• Anthropic: AI model provider (Anthropic Terms)
• Google: AI model provider (Gemini) (Google Terms)
• Clerk: Authentication and user management (Clerk Terms)
• Stripe: Payment processing (Stripe Terms)
• CodeSandbox Sandpack: Code preview functionality
• Other services as may be added from time to time

7.2 Third-Party Terms

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

7.3 Data Sharing with Third Parties

• We share necessary data with third-party service providers to deliver the Service
• Third-party service providers are contractually obligated to protect your data

8.2 AI Accuracy Disclaimer

• AI-generated content is provided "as is" for informational purposes only
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• AI analysis and recommendations are not a substitute for professional career counseling
• You should verify all information independently before making career decisions

8.3 No Employment Guarantees

• The Service does not guarantee job offers, interviews, or employment
• Job fit scores and recommendations are estimates based on AI analysis
• We are not responsible for hiring decisions made by employers
• We do not act as an employment agency or recruiter

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100
• WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES

8.5 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless RebornCareer.AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of any third-party rights
• Your User Content

10. Privacy and Data Protection

You agree not to use the Service:

12. Beta Features and Testing

12.2 Feedback

By participating in beta testing, you agree that any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription (if applicable)
• Deleting your account through account settings

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You fail to pay subscription fees
• We discontinue the Service

13.3 Effect of Termination

• Your right to use the Service immediately ceases
• We may delete your account and User Content (subject to data retention policies)
• You remain liable for all charges incurred before termination
• Sections of these Terms that by their nature should survive will survive termination

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email to your registered email address
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15.3 Arbitration

For disputes that cannot be resolved informally:

• You agree to resolve disputes through binding arbitration
• Arbitration will be conducted by the American Arbitration Association (AAA) under AAA's Commercial Arbitration Rules
• Arbitration will take place in Cuyahoga County, Ohio, or another mutually agreed location
• You waive your right to a jury trial or class action lawsuit
• Some jurisdictions may not allow arbitration clauses; in such cases, disputes will be resolved in courts of competent jurisdiction in Cuyahoga County, Ohio

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RebornCareer.AI regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without your consent.

16.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
